In my opinion, this would never be a fair fight, Iron Man doesn't have any Moral issues about killing the bad guy, spidy could hardly hurt a fly without saying sorry. Iron Man would kill him in a heart beat.

Oh, and don't worry about that Lizard Man fight, there is a really really big sword swinging at his throat while he is talking junk to XiangHua's dead body.

I agree that Iron Man wins, but not the way you depict it. It's doubtful that Spiderman would die from a fall because he would likely find something to web onto and slow down with bungee cord action. But of course Iron Man wins. He just has so much fire power and such strong defenses that spiderman just doesn't have what it takes to bring him down. The only way Spiderman could win is not hand to hand fighting but a clever use of the surroundings, like luring ironman into Terminator destroying molten lava. His webs and punches would do nothing to IronMan's armor.
